Agreement to Terms

Welcome to I DEY VOTE, a democratic intelligence platform operated by I DEY VOTE Technologies Ltd, a company registered in Nigeria. These Terms of Service ("Terms") constitute a legally binding agreement between you and I DEY VOTE Technologies Ltd ("we," "us," "our") regarding your use of the I DEY VOTE platform, including our website, mobile applications, APIs, and related services (collectively, the "Platform").

By creating an account, accessing, or using the Platform in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, Cookies Policy, and Community Guidelines. If you do not agree, you must not use the Platform.

Definitions

For clarity, the following terms have the meanings set out below throughout these Terms:

• "Platform" means the I DEY VOTE website, mobile applications, APIs, and all related services.
• "User," "you," "your" means any individual or entity that accesses or uses the Platform.
• "Content" means any text, images, videos, audio, polls, comments, civic cases, or other material submitted to the Platform by users.
• "Points" means the virtual reward currency earned through civic engagement on the Platform, convertible to Nigerian Naira.
• "Civic Case" means a user-submitted report of a community issue, public service failure, or governance concern.
• "Advertiser" means any user or entity that purchases advertising space on the Platform.
• "Verification" means the process of confirming a user's identity through PVC, NIN, BVN, or other approved methods.

Account Registration & Security

Creating an Account

To access most features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep this information updated. You may not:

• Create an account using a false identity or impersonate another person.
• Create multiple accounts for the purpose of manipulating polls, cases, or rewards.
• Use another user's account without permission.
• Sell, transfer, or share your account credentials with any third party.

Account Security

You are responsible for maintaining the confidentiality of your password and for all activities that occur under your account. You agree to:

• Use a strong, unique password and change it periodically.
• Notify us immediately at [email protected] if you suspect unauthorised access.
• Enable two-factor authentication (2FA) for additional protection.

I DEY VOTE will not be liable for any loss or damage arising from your failure to comply with these security obligations.

Account Suspension & Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for violations of these Terms, the Community Guidelines, or applicable law. Upon termination:

• Your access to the Platform will be revoked immediately.
• Your Content may be removed or retained at our discretion (e.g., civic cases may remain as public records).
• Any unredeemed Points may be forfeited, subject to our Reward Policy.
• Provisions of these Terms that by their nature should survive termination will remain in effect.

User Conduct & Prohibited Activities

You agree to use the Platform only for lawful purposes and in accordance with these Terms and the Community Guidelines. Specifically, you must not:

• Violate Laws: Use the Platform in any way that violates Nigerian law, including the Cybercrimes Act 2015, Electoral Act 2022, and Criminal Code.
• Spread Harmful Content: Post hate speech, incitement to violence, misinformation, defamation, or sexually explicit material.
• Manipulate the Platform: Use bots, scripts, or fake accounts to inflate votes, cases, comments, or Points.
• Interfere with Operations: Attempt to hack, disrupt, or overload the Platform's infrastructure.
• Harvest Data: Scrape, crawl, or systematically collect user data without authorisation.
• Impersonate: Pretend to be a public official, candidate, I DEY VOTE staff member, or another user.
• Commercial Abuse: Use the Platform to run unauthorised commercial schemes, pyramid schemes, or fraudulent reward claims.
• Intellectual Property Theft: Post Content that infringes copyrights, trademarks, or other proprietary rights.

User Content

Ownership

You retain ownership of the Content you submit to the Platform. However, by submitting Content, you grant I DEY VOTE a worldwide, non-exclusive, royalty-free, sublicensable, and transferable licence to use, reproduce, modify, adapt, publish, translate, distribute, and display such Content for the purposes of operating, promoting, and improving the Platform.

Content Licence to Other Users

By posting Content publicly (e.g., civic cases, comments), you grant other Platform users a non-exclusive licence to view, share, and interact with your Content within the Platform. This licence does not extend to copying your Content for use outside the Platform without your permission.

Content Representations

You represent and warrant that:

• You own or have the necessary rights to submit your Content.
• Your Content does not violate the rights of any third party, including privacy, publicity, or intellectual property rights.
• Your Content is accurate to the best of your knowledge, especially in the case of civic case reports.

Content Removal

We reserve the right to remove or refuse to publish any Content that violates these Terms, the Community Guidelines, or applicable law. We are not obligated to pre-screen Content but may review it at our discretion.

Rewards Program

The I DEY VOTE Rewards Program allows users to earn Points for civic engagement, which can be converted to Nigerian Naira and withdrawn to a verified bank account. Participation is subject to the following terms in addition to our Reward Policy:

• No Guarantee: Points are earned at our discretion based on verified actions. We reserve the right to adjust earning rates, caps, and eligibility criteria.
• Verification Required: You must complete identity verification (phone, bank account, and optionally PVC/NIN) before withdrawing Points.
• Tax Responsibility: You are solely responsible for reporting and paying any taxes due on your earnings.
• No Transfer: Points are non-transferable, non-exchangeable, and have no cash value until withdrawn.
• Fraud Forfeiture: Points earned through fraudulent activity (bots, fake referrals, false cases) are forfeited, and your account may be terminated.

Advertising

Advertisers on the Platform must comply with these Terms, our Advertising Policy, and all applicable laws. Key terms include:

• Accurate Representation: All ads must accurately represent the advertiser, product, or service. Misleading ads will be removed.
• Political Advertising: Political ads must be clearly labelled, comply with INEC guidelines, and include required disclaimers. See the Advertising Policy for full requirements.
• Payment: All advertising fees must be paid in advance via approved payment methods. Refunds are governed by the Advertising Policy.
• No Interference: Advertisers may not manipulate Platform metrics, coerce users, or interfere with organic civic engagement.
• Content Liability: Advertisers are solely responsible for the content of their ads and any claims made therein. I DEY VOTE does not endorse advertised products or services.

Intellectual Property

I DEY VOTE Property

The Platform and its original content, features, and functionality are and will remain the exclusive property of I DEY VOTE Technologies Ltd and its licensors. The Platform is protected by copyright, trademark, patent, and other laws of Nigeria and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

User-Generated Content Licences

As stated above, you retain ownership of your Content but grant us the licences necessary to operate the Platform. You also grant other users limited rights to interact with your public Content.

Copyright Infringement (DMCA-Style Notice)

If you believe that Content on the Platform infringes your copyright, please send a written notice to [email protected] containing:

• A physical or electronic signature of the copyright owner or authorised agent.
• Identification of the copyrighted work claimed to have been infringed.
• Identification of the infringing material and its location on the Platform.
• Your contact information.
• A statement that you have a good-faith belief the use is not authorised.
• A statement that the information is accurate, under penalty of perjury.

We will respond to valid notices and remove infringing Content where appropriate. Repeat infringers will have their accounts terminated.

Disclaimers & Limitations

Platform "As Is"

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that:

• The Platform will be uninterrupted, timely, secure, or error-free.
• The results obtained from using the Platform will be accurate or reliable.
• Any errors in the Platform will be corrected.

Civic Case Accuracy

Civic cases are submitted by users and have not been independently verified by I DEY VOTE unless marked as "Verified." We do not guarantee the accuracy, completeness, or timeliness of any civic case. Users should exercise independent judgment before acting on case information.

Third-Party Links

The Platform may contain links to third-party websites or services that are not owned or controlled by I DEY VOTE. We assume no responsibility for the content, privacy policies, or practices of any third-party sites.

Limitation of Liability

To the maximum extent permitted by law, I DEY VOTE Technologies Ltd and its directors, employees, partners, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Platform.

Our total liability to you for all claims arising from or relating to these Terms or the Platform shall not exceed the amount you have paid to us (if any) in the 12 months preceding the claim, or ₦10,000, whichever is greater.

Indemnification

You agree to defend, indemnify, and hold harmless I DEY VOTE Technologies Ltd and its affiliates, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms or the Community Guidelines.
• Your Content, including any claim that your Content infringes third-party rights.
• Your use of the Platform in a manner that violates applicable law.
• Your interaction with any other user of the Platform.

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

Dispute Resolution Process

1. Informal Resolution: Before filing any formal claim, you agree to contact us at [email protected] and attempt to resolve the dispute informally within 30 days.
2. Mediation: If informal resolution fails, either party may request mediation through the Lagos Multi-Door Courthouse or another mutually agreed mediation centre.
3. Arbitration: If mediation fails, disputes shall be resolved by binding arbitration under the Arbitration and Mediation Act 2023, conducted in Lagos, Nigeria, in English.
4. Court Jurisdiction: Nothing in these Terms prevents either party from seeking injunctive relief in a court of competent jurisdiction to prevent irreparable harm.

Class Action Waiver

You agree that any proceedings to resolve disputes will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in class actions against I DEY VOTE.

Changes to These Terms

We may revise these Terms from time to time. When we make material changes:

• We will update the "Last Updated" date at the bottom of this page.
• We will notify all active users via email and in-app notification at least 14 days before material changes take effect.
• Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.

If you do not agree to the revised Terms, you must stop using the Platform and delete your account before the changes take effect.

General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy, Cookies Policy, Community Guidelines, Reward Policy, and Advertising Policy, constitute the entire agreement between you and I DEY VOTE regarding the Platform.
• Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms freely.
• Force Majeure: We will not be liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labour, or materials.
• Notices: All notices to us must be in writing and sent to [email protected] or our registered office address. Notices to you will be sent to the email address associated with your account.
